Pham Chinh Tam has over 17 years of post-qualified experience (PQE) in legal professional practice in the country, focusing primarily on areas of practice including but not limited to: foreign direct investment in Vietnam, securities & capital markets, debts, insolvency & restructuring, disputes resolution & litigation, merge & acquisition.
His extensive professional practicing experience combines of recongnised in-house and law firm careers. Tam had been incumbent of in-house counsel positionfor more than four yearsin a large subsidiary of Vietnam Airlines, the biggest airlines in Vietnam where he was in charge for legal affairs related to projects, commercial contracts, procurement and legal compliance. Besides civil aviation industry, he then served for more than six years in the post of in-house legal counsel for one of leading securities companies in the market. His role in securities and capital markets included but not limited to regulatory advisory, deals advisory, public companies and listed companies; onshore investment funds, including opened-ended or close-ended form, real estate or securities investment funds, private equity, convertible loans and other finance investment activities, share issuance, offering/placement, IPO and listing, derivatives.
Prior to securities and capital markets, he worked for a prestige local law firm, in charge for foreign direct investment, contracts, debt and insolvency.
Tam reads and speaks Vietnamese and English and he is a founder of LegalMax law firm where he leads a very numerous and various background teams and task forces for Debt, Insolvency & Restructuring which specially focusing on commercial and credit debts of largest banks in Vietnam.
DEALS:
2013:
- Advised on issuance of corporate bonds with a total value of VND500 billion, in a construction sector company;
- Advised on issuance of corporate bonds with a total par value of VND2,000 billion, with security assets of a company operating in the field of plant and mining rubber; and
- Assisted a client in cassation complaint procedures against a bank guarantee with total value was over VND40 billion.
2012:
- Advisedon building of systems and processes related to margin lending securities transactions (margin) and other documents related risk control for a securities company in “VietnamTop 10”;
- Advised on issuance of VND1,000 billioncorporate bonds for a securities company in “Vietnam Top 10”;
- Advised onacquisition of a securities company with transactional value at nearly VND100 billion; and
- Acted on behalf of sell-side on legal due diligence works for a targeted joint-stock commercial banks which have charter capital of VND3,000 billion VND.
2011:
- Legal due diligence for an acquisition of a fund management company with a total transactional value of over VND20 billion; and
- Advised on an acquisition of US$5 million in one company operating in the field of agricultural production in Laos.
2010:
- Advised on restructuring and transaction of a galvanized steel sheet production plant with a total transactional value of nearly VND600 billion;
- Advised on corporate bond issuance of VND2,000 billion corporate bonds at par value of a joint-stock commercial bank in Vietnam;
- Advised on the issuance of VND1,000 billion corporate bonds at par value of a company operating in the construction sector and real estate; and
- Advised on the issuance of VND600 billion corporate bonds at par value of a company operating in the field of financial investment.
